(“CI” or the “Corporation”) (TSX: CIX) and Mubadala Capital today announced the successful completion, effective August 12, 2025, of the previously announced acquisition of CI, one of North America’s leading diversified asset and wealth management companies. The C$12.1-billion transaction marks a significant milestone in Mubadala Capital’s growth ambitions, accelerating its expansion into private wealth management and cementing its position at the forefront of a rapidly evolving sector. The transaction was completed by way of a statutory plan of arrangement (the “Arrangement”) under the Business Corporations Act (Ontario). Pursuant to the terms of the Arrangement, among other things, Mubadala Capital acquired all of the issued and outstanding common shares of the Corporation (“CI Shares”) for cash consideration equal to C$32.00 per share, other than Rollover Shares (as defined below).
